Avesa One LLC · DetailAxis Growth Console · detailsoftware.com
Please read these Terms of Service (the “Terms”) carefully. They are a legally binding agreement between you and Avesa One LLC. They include a limitation of our liability (Section 24), your obligation to indemnify us (Section 25), and rules about how disputes are resolved (Section 26). If you do not agree to these Terms, do not use the Service.
1. Agreement to these Terms
Avesa One LLC (“Avesa One,” “we,” “us” or “our”) owns and operates DetailAxis, including the DetailAxis Growth Console available at detailsoftware.com, the DetailAxis mobile apps, public quote, payment and waiver pages, website lead forms, APIs, and related emails, text messages and services (together, the “Service”).
By creating an account, clicking to accept, signing in, or using any part of the Service, you agree to these Terms, our Privacy Policy, and any additional terms shown to you for a specific feature, such as the DetailCoach AI Terms & Disclaimer (together, the “Agreement”). If additional terms conflict with these Terms for that feature, the additional terms control for that feature.
If you use the Service for a business, you accept these Terms on behalf of that business and confirm that you are authorized to bind it. In that case “you” and “your” mean both you and the business.
2. Definitions
“Account” means the business workspace created for you in the Service, including its business profile, settings, records and users.
“Account Owner” means the person who created the Account or to whom ownership has been transferred. The Account Owner controls billing, team access and Account deletion.
“Authorized Users” means the Account Owner and anyone the Account Owner or a manager invites or allows to use the Account, such as managers and technicians.
“End Customers” means your own customers, leads and prospects, and anyone else whose information you put into the Service or whom you contact through it.
“Customer Data” means all information you or your Authorized Users submit to the Service, or that the Service collects for you, including business details, End Customer names, phone numbers, email and street addresses, vehicle details, photos, notes, quotes, invoices, appointments, job records, messages, signatures, mileage and payment status.
“Communications” means text messages (SMS/MMS), emails and any other messages sent to End Customers or others through the Service, whether sent manually, by an automation you turned on, or after you approved a draft.
“AI Features” means DetailCoach, Autopilot and every other feature that uses artificial intelligence to generate content, suggestions or proposed actions, and “Output” means what they generate.
“Third-Party Services” means products and services not provided by us, such as Stripe, Twilio, Resend, Google, Apple, app stores, AI model providers, and website builders or form tools you connect.
“Plan” means the Starter (free), Pro, Team or other subscription level that applies to your Account.
3. Eligibility and accounts
The Service is for businesses and professionals. You must be at least 18 years old and able to form a binding contract to use it. It is not intended for personal, family or household use.
You must give accurate, current and complete information when you register and keep it up to date, including your business name, business email, phone number, address and time zone.
You are responsible for keeping your login credentials confidential, for all activity under your Account, and for any loss caused by unauthorized use of your credentials. Tell us right away at support@detailaxis.com if you suspect unauthorized access.
If you sign in with Google, Apple or another provider, your use of that provider is governed by its terms, and you are responsible for the security of that account.
One business per Account unless we agree otherwise. You may not create Accounts by automated means, share an Account between unrelated businesses, or create an Account to evade a suspension.
Demo or sample Accounts and data are provided for evaluation only and may be reset or deleted at any time.
4. Team members, roles and access
Depending on your Plan, you can invite Authorized Users and assign roles (for example owner, manager or technician). Roles control what each person can see and do. Managers can generally see and change business-wide records; technicians generally see only the jobs assigned to them.
You are responsible for choosing who gets access, which role they receive, removing access when someone leaves, and for everything your Authorized Users do in the Service. Their actions are treated as your actions under these Terms.
Each Authorized User must have their own login. Sharing logins is not allowed.
Each Authorized User who uses AI Features must accept the DetailCoach AI Terms & Disclaimer individually.
If there is a dispute about who controls an Account, we may rely on our records of the Account Owner and the billing relationship, and we may suspend access until the dispute is resolved.
5. The Service
The Service is customer-relationship-management (CRM) and business software for auto detailing and similar service businesses. Depending on your Plan and settings, it may include:
Leads and contacts: capturing leads (including from your website forms and integrations), tracking stages and sources, contact records, vehicles, notes, tags and activity history.
Quotes: service menus and price lists, building quotes, public quote links your customers can open, accept, sign and pay, and quote follow-ups.
Scheduling and jobs: a calendar, appointments, job assignment, job status, before/after photos, recurring service plans and time-off requests.
Invoices, deposits and payments: invoices, deposit requests, tips and online payment through your own connected Stripe account.
Communications: sending texts and emails to End Customers, “on the way” messages, appointment confirmations and reminders, review requests and other messages, with opt-out handling and quiet hours.
Automations: rules that send messages or take actions automatically when conditions are met, with schedules you control.
Waivers and forms: damage waivers and similar documents that End Customers can review and sign electronically.
Reports and tools: revenue and pipeline reports, CSV exports, a mileage tracker, saved locations and business resources and guides.
AI Features: DetailCoach, which can answer questions about your Account, draft messages and propose changes for your approval, and Autopilot, which prepares drafts on a schedule.
We may add, change or remove features at any time. Some features are labeled beta, preview or early access; those are provided as-is, may change or stop without notice, and may be less reliable than other features. Feature availability may differ between the website and the mobile apps.
The Service is a tool. We do not provide detailing services, do not act as your agent, and are not a party to any agreement between you and your End Customers. You decide how to run your business, what to charge, what to say and what to send.
6. Your Customer Data
Ownership
As between you and us, you own your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display and back up Customer Data as needed to provide, secure, support and improve the Service, to comply with law, and as described in the Privacy Policy.
Your responsibilities
You are responsible for the accuracy, quality and legality of Customer Data and for how you obtained it.
You must have all rights, notices and consents required by law to collect Customer Data, to store it in the Service, and to use it as you do through the Service, including to contact End Customers.
You must give your End Customers any privacy notice the law requires and respond to their requests about their information. We will provide reasonable help when the Service makes that possible.
Do not store sensitive information in the Service unless a feature is specifically designed for it. This includes full payment card numbers, bank account numbers, Social Security or other government ID numbers, health or medical information, biometric data, passwords, or information about children under 13.
Our role
For Customer Data about End Customers, we act as your service provider (or “processor”): we process it on your behalf and according to your instructions, which these Terms and your use of the Service’s settings represent. We do not sell Customer Data and do not use it to advertise to your End Customers. We may create and use aggregated or de-identified information that does not identify you, your Authorized Users or any End Customer, for example to measure and improve the Service.
7. Text messages, email and calls
Communications are sent at your direction, either because you or an Authorized User sent them, approved them, or turned on an automation that sends them. You are the sender of every Communication for legal purposes, and you are solely responsible for its content, recipients, timing and legality.
Consent and compliance
You must obtain, document and keep all consents required before sending any Communication, including prior express consent and, where required, prior express written consent for marketing or automated texts under the Telephone Consumer Protection Act (TCPA) and similar state laws.
You must comply with all applicable laws and rules, including the TCPA, the CAN-SPAM Act, state telemarketing, “mini-TCPA” and consumer-protection laws, Do-Not-Call rules, the CTIA Messaging Principles and Best Practices, and wireless carrier and A2P 10DLC requirements.
You must honor opt-out requests promptly. The Service is designed to stop texts to a number that replies STOP (or a similar keyword) and to respect quiet hours you set, but these safeguards are conveniences, not a guarantee of compliance, and they cannot catch opt-outs given to you outside the Service.
Each Communication must identify your business, must not be deceptive, and must include any disclosure or opt-out language the law requires.
You may not send Communications about prohibited or high-risk content, including cannabis, firearms, gambling, adult content, high-risk financial services, debt collection, or third-party lead generation, and you may not use purchased, rented or scraped contact lists.
How sending works
Texts may be sent from phone numbers we provide, which may be shared with other businesses on the Service. Emails may be sent from our sending domain on your behalf, with replies directed to your business email. Replies to shared numbers may not reach you, and we do not guarantee two-way texting.
Plans include monthly allowances for texts and automated emails. When an allowance is used up, sending may stop or switch to another channel (for example from text to email) until the next period or until you upgrade.
Delivery is not guaranteed. Messages can be delayed, filtered, blocked, delivered more than once or not delivered by carriers, email providers or recipients’ devices. We are not responsible for undelivered, delayed or misdirected Communications.
We keep logs of Communications (content, recipient, time and status) to operate the Service, enforce these Terms and comply with law.
We may block, delay, rate-limit or stop any Communication, and suspend messaging for an Account, if we believe it may violate law, carrier rules or these Terms, may harm our sending reputation, or if a carrier or provider requires it.
You will defend and indemnify us (as described in Section 25) against any claim, fine or penalty arising from Communications sent from your Account.
8. Automations and scheduled features
Automations, reminders, follow-ups, digests and other scheduled features run according to the settings in your Account, including your business time zone and quiet hours. You are responsible for choosing, reviewing and maintaining those settings and the message templates they use.
Scheduled features may run while you are not watching. They may fail, run late, run twice, skip records, or act on information that has changed. Check their results regularly and turn them off if they are not working the way you want.
Changing a record (for example an appointment time, a phone number or a stage) may change what automations do next. Deleting or editing a record may not stop a message that is already queued.
We may limit how often automations run or how many messages they send, and may pause automations that appear to be malfunctioning or causing complaints.
9. Quotes, invoices, deposits and payments
You set your own prices, discounts, taxes, deposits, tips, cancellation policies and payment terms. The Service may suggest or calculate prices and totals, but you are responsible for checking every amount before you send or charge it.
Online payments from End Customers are processed by Stripe through a Stripe account that belongs to you, under Stripe’s terms. You are the merchant of record. We are not a payment processor, money transmitter or party to those transactions, and we do not hold your funds.
You are responsible for refunds, chargebacks, disputes, fraud, payment-processing fees, and all taxes on your sales, and for complying with laws on pricing, receipts, consumer disclosures and tipping.
Quote, invoice and payment links are accessible to anyone who has the link. Send them only to the intended recipient.
Keys and credentials you enter for your payment account are stored to let the Service act for you. Keep them current, and revoke them in your payment provider if you stop using the Service.
Records in the Service (such as paid/unpaid status) are for convenience and may not match your payment provider in every case. Your payment provider’s records control.
10. Waivers, forms and e-signatures
The Service lets End Customers review and electronically sign waivers, quotes and other documents. Any template or sample language we provide is for convenience only and is not legal advice. You are responsible for the content of your documents, for whether they are enforceable where you do business, and for getting any consent to use electronic records and signatures that the law requires. We store the signed records we collect for you as part of your Customer Data.
11. Scheduling, time zones and mileage
Appointment times are shown and sent in the time zone set in your business profile. You are responsible for setting the correct time zone and for confirming appointment details with your End Customers.
We are not responsible for missed, double-booked or late appointments, or for travel time, routing or availability estimates.
Mileage logs, distance calculations and reports are estimates based on the addresses and data available. They are not tax, accounting or legal advice. Keep your own records as required by tax authorities.
Some features use addresses, maps and (only if you allow it on your device) your device’s location. Mapping data comes from Third-Party Services and may be inaccurate.
12. AI features (DetailCoach)
Use of the AI Features is also governed by the DetailCoach AI Terms & Disclaimer, which each user must read and sign before using DetailCoach. In summary: Output is generated automatically and may be wrong; it is not professional advice; nothing is sent or changed until you approve it (unless you turn on a feature that acts automatically); you must review and verify all Output, including every price and message, before relying on it; and we are not responsible for Output or for what you do with it. To provide the AI Features, relevant Customer Data is sent to our hosting platform and its AI model providers to generate the Output, as described in the Privacy Policy.
13. Third-party services
The Service relies on and connects with Third-Party Services, including hosting and database providers, Stripe (payments and our subscription billing), Twilio (texts), Resend (email), Google (maps and sign-in), Apple (sign-in and the App Store), Google Play, AI model providers, and website builders or form tools you connect. Your use of a Third-Party Service is governed by its own terms and privacy policy. We do not control and are not responsible for Third-Party Services, their availability, their changes, or any loss caused by them. If a Third-Party Service changes or becomes unavailable, we may change or stop the related feature.
14. Plans, fees and billing
Plans. The features, user limits and monthly allowances (such as texts, automated emails and quotes) for each Plan are described in the Service and on our website and may change as described in Section 27. The Free Plan may be limited, changed or discontinued at any time.
Subscriptions. Paid Plans are billed in advance, monthly or annually, through Stripe on our website, and renew automatically at the then-current price for the same period until cancelled. By subscribing you authorize us and Stripe to charge your payment method for each renewal.
Cancellation. You can cancel at any time in Settings or by contacting us. Cancellation takes effect at the end of the current billing period; you keep paid features until then.
Refunds. Fees are non-refundable except where required by law or where we state otherwise in writing. We do not give refunds or credits for partial periods, unused allowances, or downgrades.
Price changes. We may change prices with at least 30 days’ notice by email or in the Service. New prices apply from your next renewal after the notice period. If you do not agree, cancel before then.
Upgrades and downgrades. Upgrades may take effect immediately and may be prorated. Downgrades take effect at the next renewal and may remove features, users, allowances or data that the lower Plan does not support.
Failed payments. If a payment fails, we may retry it, and may downgrade or suspend your Account until the balance is paid.
Taxes. Fees do not include taxes. You are responsible for all applicable sales, use, VAT and similar taxes, other than taxes on our income.
Mobile apps. Plans are not sold inside the mobile apps. Manage your subscription on our website.
15. Acceptable use
You and your Authorized Users will not, and will not help anyone else to:
break any law, or violate anyone’s privacy, publicity, intellectual-property or other rights;
send spam, unsolicited bulk messages, or messages without the consent the law requires, or use the Service for prohibited messaging content described in Section 7;
upload or send content that is unlawful, defamatory, harassing, hateful, sexually explicit, threatening, deceptive or fraudulent, or that impersonates any person or business;
access or try to access another business’s Account or data, or probe, scan or test the vulnerability of the Service, or bypass any security, access-control or usage limit;
upload viruses or malicious code, or interfere with or overload the Service;
scrape, crawl or use bots to access the Service, except through features or APIs we provide for that purpose;
copy, modify, reverse engineer, decompile or create derivative works of the Service, except as the law expressly allows;
resell, sublicense, rent or provide the Service to third parties, or use it to build a competing product;
use the Service to make high-stakes decisions about people, such as credit, employment, housing or insurance eligibility; or
use the Service in a way that could expose us, our providers or other customers to legal liability or harm.
We may investigate suspected violations and remove content, stop Communications, or suspend Accounts.
16. Security
We use administrative, technical and organizational measures designed to protect the Service and Customer Data, including access controls that separate each business’s data, encrypted connections, and trusted providers. No method of transmission or storage is completely secure, and we cannot guarantee security. You are responsible for securing your devices, credentials and connected accounts, using strong unique passwords, and limiting access to people who need it. If we learn of a security incident that affects your Customer Data, we will notify you as required by law.
You authorize our personnel to access your Account and Customer Data when reasonably needed to provide support you request, troubleshoot or fix problems, maintain and secure the Service, investigate suspected violations of these Terms, or comply with law. Our support access is restricted to authorized personnel and is logged.
We may disclose information if we believe in good faith that the law, a court order or a valid government request requires it, or that it is needed to protect the rights, property or safety of us, our users or the public.
18. Notices and product emails
You agree that we may send notices, invoices and other communications to the email address on your Account or show them in the Service, and that they satisfy any legal requirement that communications be in writing. We send service emails (such as security, billing and legal notices) to all Accounts. We may also send product update emails; you can opt out of those at any time, and opting out does not affect service emails. You may send legal notices to us at the address in Section 29.
19. Export, backups, retention and deletion
Export. You can export many records (for example contacts and jobs) from the Service. Ask us if you need a copy of data you cannot export yourself; we will provide reasonable help.
Backups. We keep backups for disaster recovery. Backups are not an archive service for you, and we do not guarantee that any particular record can be restored. You are responsible for keeping your own copies of records you need.
Deleted records. Records you delete may not be recoverable. Copies may remain in backups for a limited time until they are overwritten.
Account deletion. The Account Owner can delete the Account from Settings or our account deletion page. When an Account is deleted, its business profile and Customer Data are deleted from the live Service, except information we must keep to meet legal, tax, accounting, dispute or security obligations.
After termination. If your Account ends for any other reason, you can ask us for an export within 30 days. After that, we may delete Customer Data without further notice.
20. Intellectual property and feedback
The Service, including its software, design, text, templates, guides, AI prompts, logos and the DetailAxis and Avesa One names, is owned by us or our licensors and protected by intellectual-property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right during your subscription to use the Service for your internal business purposes. We reserve all rights not expressly granted.
If you send us suggestions or feedback, we may use them for any purpose without obligation to you.
21. Confidentiality
Each party may receive non-public information from the other. Each party will use the other’s confidential information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, was independently developed, or was lawfully received from someone else. A party may disclose confidential information when required by law, after giving notice where allowed.
22. Suspension and termination
You may stop using the Service and cancel or delete your Account at any time.
We may suspend or limit all or part of the Service (including messaging) immediately if you breach these Terms, fail to pay, create legal, security or reputational risk, receive repeated complaints or carrier violations, or if required by law or a provider. Where reasonable, we will tell you why and give you a chance to fix the problem.
We may terminate your Account for material or repeated breach, for non-payment, if we are required to by law, or if we stop offering the Service. If we stop offering the Service for reasons other than your breach, we will give you reasonable notice and refund any prepaid fees for the remaining period.
Sections that by their nature should survive termination will survive, including Sections 6, 7 (indemnity and compliance obligations), 9, 14 (unpaid fees), 19 through 26 and 28.
23. Disclaimers
The Service, Output and all content are provided “as is” and “as available,” with all faults. To the maximum extent permitted by law, Avesa One LLC disclaims all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that Communications will be delivered; that data will not be lost; or that the Service will meet your requirements or produce any business result, revenue or number of customers.
Nothing in the Service is legal, tax, accounting, financial, insurance or other professional advice.
24. Limitation of liability
To the maximum extent permitted by law, neither Avesa One LLC, the DetailAxis platform, nor their members, managers, officers, employees, contractors, affiliates, licensors or service providers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, customers, goodwill or data, cost of substitute services, business interruption, pricing or quoting errors, missed, incorrect, delayed or unwanted Communications, scheduling errors, regulatory fines or penalties, or third-party claims, arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), strict liability or any other theory, even if advised of the possibility of such damages.
Our total combined liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in that case our liability is limited to the fullest extent the law allows.
25. Indemnification
You will defend, indemnify and hold harmless Avesa One LLC and its members, managers, officers, employees, contractors, affiliates and service providers from and against all claims, demands, suits, damages, losses, fines, penalties, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Customer Data; (b) Communications sent from your Account, including claims under the TCPA, CAN-SPAM or similar laws; (c) your services to and dealings with End Customers, including pricing, payments, refunds, damage, injury and disputes; (d) your use of the Service or Output, including actions you approve or automate; (e) your Authorized Users; or (f) your breach of the Agreement or any law. We may choose our own counsel at your expense and control the defense of any claim, and you will not settle a claim that affects us without our written consent.
26. Disputes and governing law
Talk to us first. Before filing a claim, you agree to contact us at the address in Section 29 with a description of the dispute, and to try in good faith to resolve it informally for at least 30 days.
Governing law. These Terms and any dispute relating to the Service are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws rules.
Venue. Any lawsuit must be brought exclusively in the state or federal courts located in San Diego County, California, and both parties consent to personal jurisdiction there. Either party may bring an individual claim in small-claims court if it qualifies.
Individual claims only. To the extent permitted by law, claims must be brought individually, not as a plaintiff or class member in any class, collective or representative proceeding.
Time limit. To the extent permitted by law, any claim must be filed within one (1) year after it arises, or it is permanently barred.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
27. Changes to the Service and these Terms
We may update these Terms from time to time. We will post the updated Terms with a new date and, for material changes, give you notice by email or in the Service at least 15 days before they take effect, unless a change is required sooner by law or to address security or abuse. Continuing to use the Service after changes take effect means you accept them. If you do not agree, stop using the Service and cancel your Account.
28. General terms
Entire agreement. The Agreement is the entire agreement between you and us about the Service and replaces any prior agreements on that subject.
Assignment. You may not assign or transfer the Agreement without our written consent. We may assign it in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of Third-Party Services, carriers or the internet, natural disasters, labor disputes, government action or attacks.
Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest will remain in effect. Our failure to enforce a provision is not a waiver.
Relationship. The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship.
No third-party beneficiaries. The Agreement does not give any rights to End Customers or other third parties.
Export and sanctions. You may not use the Service in violation of U.S. export or sanctions laws. The Service is operated from the United States and intended for businesses in the United States.
Electronic agreement. You agree that the Agreement may be accepted electronically and that electronic records and signatures have the same effect as paper ones.
Headings. Headings are for convenience only. “Including” means “including without limitation.”
